Terms of Service

1. Who we are and these terms

These Terms of Service ("Terms") govern your access to and use of the Adtivity services, including adtivity.xyz, the Adtivity dashboard, the Adtivity SDK and MCP, EI, and related products (together, the "Services"). The Services are provided by Adtivity Enterprise ("Adtivity", "we", "us", "our"), a business name registered in Nigeria and operated from 17 Igbobi College Road, Shomolu, Lagos, Nigeria. Adtivity Enterprise is a registered business name and not, at present, a separate limited company. By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you agree to these Terms for that organisation and confirm you have authority to do so.

2. Eligibility and your account

You must be at least 18 years old to use the Services. You are responsible for the information you give us when you register, for keeping your login credentials secure, and for all activity under your account. Tell us promptly at adtivityai@gmail.com if you believe your account has been compromised.

3. The Services

Adtivity is the Growth Layer for Founders: an analytics and growth platform that brings revenue, product, lifecycle and growth data into one place, with AI-generated insights through EI. We may add, change or remove features over time. We aim to keep the Services available and reliable, but we provide them on an "as is" and "as available" basis and do not promise they will be uninterrupted or error-free.

4. Plans, billing and renewals

The Services are offered on Free, Builder, Pro and Enterprise plans. Paid plans are billed in advance on a recurring basis (monthly or annual, as you choose) through our payment providers, Stripe and Paystack. Unless you cancel before the end of the current billing period, your subscription renews automatically for a further period of the same length, at the price then in effect. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

5. Refunds

Payments are generally non-refundable, except where the law requires otherwise. Some users have statutory rights that we will always honour, for example the 14-day cancellation right that applies to consumers in the United Kingdom and European Union.

Beyond that, we may issue refunds at our discretion. In practice we will normally refund clear billing errors, including duplicate or double charges, an annual renewal that was charged when you had intended to cancel, and accidental plan upgrades. Where we agree a refund, it is for the amount you actually paid for the affected period. To request a refund, contact us at adtivityai@gmail.com.

6. Acceptable use

You agree not to misuse the Services. In particular, you will not use them to break the law, to infringe anyone's rights, to upload data you have no right to process, to attempt to gain unauthorised access to our systems or other users' data, to interfere with or disrupt the Services, or to reverse engineer them except to the extent the law expressly allows. You are responsible for ensuring you have a lawful basis to collect and send us any end-user data you process through Adtivity.

7. Your data and our role

How we handle personal information about you is described in our Privacy Policy. When you use Adtivity to analyse your own product, you remain the controller of your end users' personal data and Adtivity acts as your processor; that relationship is governed by our Data Processing Agreement, which forms part of these Terms when it applies to you. You keep all rights in your data. You grant us the limited rights needed to host and process it in order to provide the Services.

8. Intellectual property

The Services, including our software, design, branding and content, belong to Adtivity and our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services while these Terms are in effect. You keep ownership of the content and data you submit.

9. Publishing and public surfaces

Some features, such as Share Cards and the Wall, let you publish information about yourself or your product. Nothing you create becomes public unless you choose to publish it, and you can unpublish it at any time from your settings. You are responsible for what you choose to make public.

10. Disclaimers

The Services, including EI's insights, are provided for information and do not constitute professional, financial, legal or investment advice. You are responsible for the decisions you make using them. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

11. Limitation of liability

To the fullest extent permitted by law, Adtivity will not be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to these Terms or the Services, in any 12-month period, will not exceed the amount you paid us for the Services in the 12 months before the event giving rise to the liability. Nothing in these Terms limits liability that cannot be limited by law.

12. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. When your account closes, you will have 30 days to export your data before it is deleted, after which we delete it in line with our Privacy Policy, unless the law requires us to keep it.

13. Changes to these terms

We may update these Terms as the Services and the law evolve. We will post the updated version with a new "last updated" date and, for material changes, give notice through the product or by email. If you continue to use the Services after a change takes effect, you accept the updated Terms.

14. Assignment

You may not assign or transfer these Terms without our consent. We may assign or transfer these Terms, in whole or in part, to an affiliate or successor, including in connection with reorganising or re-incorporating the business (for example, transferring the Services to a future Adtivity company). Your rights under these Terms will not be reduced by such a transfer.

15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. You and Adtivity agree that the courts of Lagos State, Nigeria have jurisdiction over any dispute arising out of or relating to these Terms or the Services, without prejudice to any mandatory consumer-protection rights you have in your own country.
